Important Legal Notice

These Terms of Service constitute a legally binding agreement between you and WH Solution & Research. By accessing or using WHEDU School Management System, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our services.

1. Introduction & Acceptance

1.1

Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of WHEDU School Management System ("Service") provided by WH Solution & Research ("Company", "we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1.2

Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes through the Service or by email at least 30 days before the changes take effect. Your continued use of the Service after such notice constitutes your acceptance of the modified Terms.

1.3

Eligibility

To use the Service, you must:

  • Be at least 18 years old or have parental/guardian consent
  • Have the authority to bind your educational institution to these Terms
  • Not be prohibited from receiving our services under applicable laws
  • Provide accurate and complete registration information

2. Definitions

Clause 2

In these Terms, unless the context otherwise requires:

"Service" means WHEDU School Management System, including all software, applications, websites, and services provided by WH Solution & Research.
"Customer" means the educational institution that subscribes to the Service.
"End User" means any individual authorized by Customer to use the Service, including administrators, teachers, staff, students, and parents.
"Customer Data" means all data, information, and content submitted by Customer and End Users to the Service, including but not limited to student records, financial information, and educational content.
"Subscription Term" means the period during which Customer has agreed to subscribe to the Service.
"Confidential Information" means all non-public information disclosed by either party to the other, whether orally or in writing, that is designated as confidential or that reasonably should be understood to be confidential.

3. Account Registration & Security

3.1

Account Creation

To access the Service, you must create an account by providing complete and accurate information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2

Security Responsibilities

Customer shall:

  • Implement reasonable security measures to protect account credentials
  • Promptly notify us of any unauthorized access or security breach
  • Ensure End Users comply with security policies
  • Not share account credentials among multiple users
3.3

Account Suspension

We reserve the right to suspend or terminate accounts that:

  • Violate these Terms or applicable laws
  • Pose a security risk to the Service
  • Are used for fraudulent or illegal activities
  • Remain inactive for an extended period

Security Warning

You are solely responsible for maintaining the security of your account. We are not liable for any loss or damage arising from your failure to comply with security obligations.

4. Acceptable Use Policy

4.1

Permitted Use

The Service may only be used for lawful educational and administrative purposes, including:

  • Student information management and record-keeping
  • Academic planning and scheduling
  • Communication between school stakeholders
  • Financial management and fee collection
  • Reporting and analytics for educational improvement
4.2

Prohibited Activities

You agree not to use the Service to:

4.3

Content Standards

All content uploaded to the Service must:

  • Comply with all applicable laws and regulations
  • Respect intellectual property rights
  • Not contain viruses or malicious code
  • Be appropriate for an educational environment
  • Not violate the privacy rights of others

5. Fees, Payments & Billing

5.1

Payment Terms

All fees are payable in advance. Payment is due within the specified payment terms. Late payments may result in service suspension.

5.2

Price Changes

We reserve the right to change prices with 60 days' notice. Price changes will not affect existing subscriptions until the next renewal period.

5.3

Refund Policy

Subscription fees are non-refundable except as required by law. We may provide refunds or credits at our sole discretion.

5.4

Taxes

All fees are exclusive of taxes. Customer is responsible for all applicable taxes, including sales, VAT, GST, or other similar taxes.

Billing Disputes

Billing disputes must be submitted in writing within 30 days of the invoice date. Failure to dispute within this period constitutes acceptance of the charges.

6. Data Ownership & Privacy

6.1

Data Ownership

Customer retains all right, title, and interest in and to Customer Data. We claim no ownership rights over Customer Data.

6.2

License to Use Data

Customer grants us a limited license to use, process, and store Customer Data solely for the purpose of providing and improving the Service.

6.3

Data Protection

We implement appropriate technical and organizational measures to protect Customer Data. Our Privacy Policy details our data protection practices.

6.4

Data Portability

Upon request, we will provide Customer Data in a structured, commonly used, and machine-readable format to facilitate data portability.

6.5

Data Retention

We retain Customer Data for the duration of the subscription and for a reasonable period thereafter as specified in our Privacy Policy. Upon termination, we will delete or return Customer Data as requested by Customer.

Data Processing Agreement

For institutions requiring GDPR compliance, we offer a Data Processing Agreement (DPA) that outlines our responsibilities as a data processor. Contact us to request a DPA.

7. Intellectual Property

7.1

Our Intellectual Property

The Service, including all software, documentation, and content (excluding Customer Data), is protected by copyright, trademark, and other intellectual property laws. All rights not expressly granted are reserved.

7.2

License Grant

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal educational purposes during the Subscription Term.

7.3

Restrictions

You may not:

  • Copy, modify, or create derivative works of the Service
  • Reverse engineer, decompile, or disassemble the Service
  • Remove any copyright or proprietary notices
  • Use the Service to develop a competing product

8. Liability & Warranties

8.1

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

8.2

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY CUSTOMER DURING THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

8.3

Exclusions

NEITHER PARTY SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

8.4

Service Level Agreement

We commit to maintaining 99.5% uptime for the Service. Our SLA details uptime commitments, support response times, and remedies for service interruptions.

Important Limitation

We are not liable for any damages resulting from unauthorized access to Customer Data due to Customer's failure to implement reasonable security measures.

9. Termination & Suspension

9.1

Termination Rights

Either party may terminate these Terms:

  • For material breach that remains uncured for 30 days after notice
  • Immediately for violations of Acceptable Use Policy
  • Upon 30 days' written notice for convenience (annual plans only)
9.2

Effect of Termination

Upon termination:

Immediate

All access to the Service is suspended

Within 30 days

Customer Data is made available for export

Within 90 days

Customer Data is permanently deleted from our systems

9.3

Survival

The following provisions survive termination: Intellectual Property, Confidentiality, Liability, Indemnification, and Governing Law.

10. General Provisions

10.1

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

10.2

Dispute Resolution

Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

10.3

Force Majeure

Neither party shall be liable for any failure or delay in performance due to causes beyond its reasonable control, including natural disasters, acts of government, or internet service failures.

10.4

Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets.

10.5

Entire Agreement

These Terms, together with our Privacy Policy and any other referenced documents, constitute the entire agreement between you and us regarding the Service.

Acceptance of Terms

By using WHEDU School Management System, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you are accepting on behalf of an organization, you represent that you have the authority to bind that organization.
